license grant and termination
your rights to use the content are contingent upon full payment and adherence to the terms of this agreement. failure to comply will result in immediate termination of the license and potential legal action by the content provider.
duration of rights-managed content licenses
unless specified otherwise on the invoice, a one-year license is granted for rights-managed content from the invoice date.
distribution, publication, display, or any other use of the content beyond this period is prohibited, unless explicitly permitted on the invoice.
access to additional content and extended use
to use the content for broader applications or with more users, an additional license and associated fee are required.
complementary content, intended for internal evaluation purposes, is not eligible for further distribution.
limitations on complementary material use
access to supplementary materials ("comps") is limited to a thirty (30) day period from download.
re-use of comps beyond this timeframe requires a separate rights-managed or royalty-free license. all copies must be destroyed upon expiration of the comp license.
content ownership and intellectual property rights
the content provider retains all intellectual property rights, including copyrights, patents, trademarks, and trade secrets.
granted usage rights are limited to the specific license outlined in this agreement.
limitations on derivative works
any derivative works created using the content do not grant additional rights beyond those explicitly granted in the agreement.
warranties and disclaimers
unless explicitly stated otherwise, the content provider offers no warranties, express, implied, or statutory, regarding the content, associated systems, or granted rights and licenses.
restrictions on editorial and fine art content
special considerations apply to editorial, news, and fine art content.
any modifications beyond standard color correction or minor cropping are the sole responsibility of the licensee, and the provider must be indemnified for any arising claims.
indemnification of the content provider
licensees agree to indemnify and hold harmless the content provider from any claims, liabilities, damages, judgments, settlements, costs, and expenses (including legal fees) arising from modifications or alterations to the content.
limitations on the content provider's indemnification obligations
the content provider's indemnity obligation is contingent on prompt written notice within 10 days of the licensee receiving a claim and agreement to defend or control the defense of the claim.
claims covered under a separate section are excluded from this provision.
limitations on implied rights related to depicted elements
access to content does not inherently grant rights to utilize persons, places, or subjects featured in the content. additional licenses might be required, and the licensee is responsible for confirming the necessary permissions.
third-party rights and required clearances
content may be subject to various third-party rights (copyrights, trademarks, publicity rights, etc.).
licensees are responsible for acquiring all necessary releases and clearances for their use of the content.
restrictions on representations and warranties
no additional representations or warranties beyond those explicitly stated in the agreement are provided.
no rights, including copyrights or trademarks, in the content itself, other than the permitted end use, are acquired.
infringement and remedies
unauthorized use of content is a copyright infringement and subjects users to potential legal action, including monetary damages, and the imposition of additional fees.
payment terms and late fees
payments are due within 30 days of the invoice date.
a penalty fee is levied for late payments.
calculation of footage usage
duplicate usages of footage, freeze frames, or slow motion are calculated based on the actual running time displayed.
tax responsibility
licensees are responsible for any applicable sales or use taxes.
cancellation policies and fees
cancellation requests must be submitted within a specified timeframe.
failure to meet this timeframe results in the full payment obligation. cancellation may also incur service charges, production fees, processing, and shipping fees.
termination of licenses upon cancellation
applicable licenses immediately terminate upon cancellation.
data handling and privacy practices
content provider policies regarding the use and protection of personal data are followed, including privacy practices related to minors.
data accuracy and access rights
content providers take reasonable steps to ensure data accuracy and allow access, correction, deletion, and restriction of processing, per applicable privacy regulations.
third-party website links
content provider does not assume responsibility for third-party website privacy policies when providing links to external sites.
